Product Returns:
All returns are subject to SYNDEO Medical's sole and absolute discretion. No distributor may return any products without prior written authorization from SYNDEO Medical. Any products returned without such authorization will be refused and returned at the distributor's expense. No verbal representations, promises, or assurances made by any SYNDEO Medical employee, agent, representative, or any commercial third party shall create any obligation on SYNDEO Medical's part or modify, waive, or supersede this policy in any way.
Products Eligible for Return:
The following products may be returned solely at SYNDEO Medical's discretion: a) products that breach an applicable SYNDEO Medical warranty ("Defective Products"), as determined exclusively by SYNDEO Medical; b) products shipped due to SYNDEO Medical's documented processing error; or c) standard, unopened, unaltered, non-reprocessed, non-refurbished, and non-expired products received by SYNDEO Medical within 30 days of the original invoice date and determined by SYNDEO Medical, in its sole judgment, to be in resalable condition. Obsolete products, discontinued products, products with less than 12 months of shelf life remaining, custom products, special-order products, and custom volume orders are not returnable under any circumstances whatsoever, regardless of any representations made by any employee, agent, or third party.
Authorization Process and Credit:
A return request does not, in itself, entitle a distributor to any credit, reimbursement, or product exchange. All return requests are subject to SYNDEO Medical's sole review and approval, and SYNDEO Medical reserves the right to deny any return request at its absolute discretion. Only in the event that SYNDEO Medical expressly approves a return request will SYNDEO Medical issue a return goods authorization (RGA) number along with return instructions. No return may proceed without this RGA number in hand.
All returned products must be accompanied by the original order, invoice and/or packing slip, with the RGA number clearly marked on the outside of the package. Products received without a valid RGA number will be unconditionally refused at the distributor's expense.
Further, even upon receipt of returned products, no credit shall be issued until SYNDEO Medical has inspected the products and, in its sole judgment, confirmed that they meet all applicable return conditions. If and only if SYNDEO Medical approves the return following inspection, SYNDEO Medical may credit the purchase price minus a 20% restocking fee to the distributor's account. The sole exceptions to the restocking fee and freight responsibility are Defective Products and products returned due to SYNDEO Medical's documented processing error, for which SYNDEO Medical will cover return freight and waive the restocking fee. No other exceptions apply under any circumstances.
Cancellation of Purchase Orders:
All purchase orders submitted to SYNDEO Medical are binding upon submission and are not subject to cancellation for any reason, including but not limited to shipping delays, production lead times, or changes in distributor demand. SYNDEO Medical makes no warranties, representations, or guarantees regarding lead times or delivery schedules, and no lead time estimate — whether communicated verbally, in writing, or by any employee, agent, or representative — shall constitute a contractual commitment or grounds for cancellation.
For non-custom products, SYNDEO Medical may, solely at its discretion, permit cancellation within the same business day of order placement provided the order has not yet entered processing. This exception is granted at SYNDEO Medical's sole discretion and creates no precedent or ongoing obligation. For custom products, special-order products, and custom volume orders, cancellation is strictly prohibited under any circumstances once the order has been submitted, regardless of production status, lead time, or delay.
Freight for Returned Products:
The distributor bears full responsibility for properly packaging all returned products to prevent damage during shipping. SYNDEO Medical will not issue return credit for any products damaged in transit to SYNDEO Medical, except in cases of Defective Products or SYNDEO Medical processing errors as defined above. The distributor is solely responsible for all freight charges to and from SYNDEO Medical for all other returns. No agent, representative, or commercial party has authority to alter these freight terms.
Disclaimer of Representations:
No statement, representation, warranty, or commitment made by any SYNDEO Medical employee, sales agent, distributor representative, or any commercial third party — whether oral or written — shall modify, supplement, override, or supersede this Return Policy in any manner. This policy constitutes the entire and exclusive agreement between SYNDEO Medical and the distributor with respect to product returns and cancellations, and supersedes all prior or contemporaneous communications on the subject.
Governing Policy and Distribution Agreements:
This Return Policy governs and controls over any distribution agreement, distributor contract, or any other agreement between SYNDEO Medical and a distributor, regardless of the terms contained therein. In the event of any conflict or inconsistency between this Return Policy and any distribution agreement or other contract, the terms of this Return Policy shall prevail in all respects. SYNDEO Medical reserves the right to modify, update, or amend this Return Policy at any time and without prior notice to distributors. It is the sole responsibility of each distributor to review and remain current with the most recent version of this policy. Continued placement of orders following any modification constitutes the distributor's acceptance of the updated policy in full.

To request return authorization or for any questions regarding this Return Policy, distributors must contact SYNDEO Medical's Distributor Support Department directly at support@syndeomedical.be. All return requests must include the catalog number, lot number, invoice number, invoice date, purchase order number, and the reason for return. Additional information may be required at SYNDEO Medical's discretion. Requests submitted through any other channel, or to any other employee or representative of SYNDEO Medical, will not be considered valid and will not initiate the return authorization process.
